Terms of Service

Parkin Web Development, LLC (dba Sidecar):

These Terms of Service ("Terms") govern your access to and use of Sidecar (yoursidecar.ai) and any related services (collectively, the "Service") operated by Parkin Web Development, LLC ("we", "us", "our"). By accessing or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.

Eligibility:

You must be at least 18 years old and have the authority to enter into these Terms on behalf of yourself or the entity you represent.

Accounts:

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized access.

Beta status:

Sidecar is currently in private beta. Features may change, be added, or be removed without notice. We do not guarantee uninterrupted availability during the beta period.

Connected accounts (Google Analytics and Search Console):

You may connect third-party accounts — including Google Analytics and Google Search Console — to the Service. You represent that you are authorized to connect those accounts and that your use of them through the Service complies with the applicable third party's terms. Sidecar accesses those accounts read-only, solely to provide the reporting and recommendations features described in our Privacy Policy. You can disconnect at any time from Sidecar's Settings → Connections page.

Acceptable use:

You agree not to: (a) use the Service to violate any law or third-party right; (b) attempt to gain unauthorized access to the Service or its related systems; (c) interfere with or disrupt the Service; or (d) use the Service to send spam or malicious content.

Your content and data:

You retain ownership of any data you submit or that we read on your behalf through connected third-party accounts. You grant us a limited license to process that data solely to provide the Service to you. We will not sell your data or use it for advertising. See our Privacy Policy for full detail.

Intellectual property:

The Service, including all software, designs, copy, trademarks, and logos, is owned by Parkin Web Development, LLC or its licensors and is protected by intellectual-property laws. Except for the limited rights expressly granted in these Terms, no right, title, or interest in the Service is transferred to you.

Fees:

During the private beta the Service is provided free of charge. We may introduce paid plans in the future; any pricing change will be communicated before it takes effect and will not apply retroactively.

Termination:

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you materially breach these Terms or if we need to stop offering the Service. On termination, your right to use the Service ends immediately; sections that by their nature should survive (IP, disclaimers, limitation of liability, governing law) will survive.

Disclaimers:

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory. We do not warrant that the Service will be error-free, uninterrupted, secure, or that the reports and recommendations it produces will be accurate, reliable, or suitable for your business decisions.

Limitation of liability:

To the maximum extent permitted by law, Parkin Web Development, LLC will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our aggregate liability under these Terms will not exceed US $100.

Indemnification:

You agree to defend, indemnify, and hold harmless Parkin Web Development, LLC from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of your breach of these Terms or misuse of the Service.

Governing law:

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in that state.

Changes:

We may update these Terms from time to time. If we make material changes we will notify you (for example by email or in the Service). Your continued use of the Service after the effective date of the change constitutes acceptance of the revised Terms.
